Sales Terms and Conditions

The following are the terms and conditions of agreement (“Terms and Conditions”) for the sale of products (“Products”) by Coffee Electronics to its customers (“Customers”). These Terms and Conditions form the entire agreement between the parties and supersede all prior proposals, negotiations, or agreements, whether oral or written.

1. ACCEPTANCE AND CANCELLATION OF ORDERS

  • Offers: Website availability and pricing constitute an invitation to the Customer to submit an offer. Responses to quotes or inquiries shall not be construed as a binding offer by Coffee Electronics.
  • Confirmation: Acceptance occurs only through a written Order Confirmation (email) or by the execution of the shipment.
  • Cancellations: Accepted orders may only be cancelled with written consent from Coffee Electronics. Products classified as NC/NR (Non-Cancelable/Non-Returnable), custom configurations, or non-standard items cannot be cancelled or returned.

1a. Returns

  • Returns are generally accepted within 30 days of the shipment date, subject to prior approval.
  • Return freight must be prepaid by the Customer.
  • All returned items must be in original packaging, unused, untested, and in resalable condition. Opened ESD-sensitive or moisture-sensitive products are not eligible for credit.
  • A Return Material Authorization (RMA) number must be obtained before returning any product.

2. PRICES AND PAYMENTS

  • Prices: Prices are subject to change at any time prior to order acceptance. Coffee Electronics is not responsible for typographical or pricing errors and reserves the right to cancel orders arising from such errors.
  • Taxes: The Customer is responsible for all applicable sales taxes, VAT, import duties, and brokerage fees.
  • Payment Methods: Accepted methods include major credit cards and bank transfers. Net payment terms may be available for approved business customers subject to credit approval.
  • Late Payments: Invoices not paid when due will accrue interest at the maximum rate allowed by applicable law.

3. DELIVERY AND TITLE

  • Shipping Terms: Unless otherwise specified, shipments are made under terms where Coffee Electronics’ responsibility ends upon delivery to the carrier.
  • Risk of Loss: Title and risk of loss pass to the Customer upon delivery of the Products to the shipment carrier.
  • Delivery Dates: Requested delivery dates are estimates only. Coffee Electronics shall not be liable for delays beyond its reasonable control.

4. LIMITED WARRANTY

  • Coffee Electronics agrees to transfer to the Customer any transferable warranties received from the Product manufacturer.
  • DISCLAIMER: Coffee Electronics makes no other warranty, express or implied, including any warranty of merchantability or fitness for a particular purpose.
  • Claims: Customer must notify Coffee Electronics of any defective Product within 90 days from shipment.
  • Liability: Liability is limited to either a refund of the purchase price or repair/replacement of the Product, at the discretion of Coffee Electronics.

5. LIMITATION OF LIABILITY

  • In no event shall Coffee Electronics be liable for any special, incidental, or consequential damages (including loss of profit, downtime, or personal injury).
  • The Customer’s recovery shall not exceed the purchase price paid for the Product, regardless of the nature of the claim.

6. PRODUCT SAFETY AND RESTRICTIONS

  • Products are intended for commercial and laboratory use only.
  • Critical Applications: Products are not authorized for use in life-support, medical implants, nuclear facilities, or flight-critical systems where failure could result in injury or death. The Customer assumes all risk for such use and agrees to indemnify Coffee Electronics.

7. NON-CANCELABLE / NON-RETURNABLE (NC/NR)

  • Certain Products (special orders, factory-configured, or value-added items) are designated as NC/NR. These Products cannot be cancelled, rescheduled, or returned under any circumstances.

8. FORCE MAJEURE

  • Coffee Electronics shall not be liable for any delay or failure to perform due to causes beyond its reasonable control, including acts of God, labor disputes, supply shortages, terrorism, war, or government restrictions.

9. EXPORT CONTROL COMPLIANCE

  • The Customer agrees to comply with all applicable national and international export control laws and regulations. Products may not be sold, exported, or re-exported to embargoed destinations or restricted parties defined by international trade laws.

10. GENERAL PROVISIONS

  • Modifications: These Terms may not be modified without written consent from Coffee Electronics.
  • Precedence: These Terms govern all sales and supersede any conflicting terms in Customer purchase orders.
  • Severability: If any provision is found invalid, the remaining terms shall remain in full force.
  • Governing Law: These Terms and Conditions shall be governed by the laws of the jurisdiction where Coffee Electronics is headquartered, and any disputes shall be resolved in the competent courts of that jurisdiction.
